Become a Fotocrew member: Fotolanthropy, a Texas non-profit corporation, accepts applications from highly talented professional photographers, videographers, editors, graphic designers, artists, etc. (“Fotocrew members” as defined below) who want to volunteer and give back by capturing inspiring true stories of individuals and families facing trials or hardship (“Recipients” as defined below). To volunteer and become a Fotocrew member, fill out our application (it takes just a few minutes) and make the $35.00 USD suggested annual donation. This donation directly helps fund the general administrative and marketing costs of building and running (i) an international-wide network of Fotocrew members and (ii) screening, selecting and matching selected Recipients with Fotocrew members. Your information will be reviewed by our Control Team, and You (as defined below) will be notified by email of our decision and/or acceptance within 14 business days from receipt of a completed Fotocrew Application. Once approved by our Control Team and notified of Your acceptance, You will become a Fotocrew member and be notified if and when an individual or family is nominated/selected in Your area. Becoming a Fotocrew member does not guarantee being matched with a Recipient, but simply makes You available as a willing volunteer in case a Recipient becomes available in Your area. FOTOCREW MEMBER TERMS AND CONDITIONS Fotolanthropy, a Texas non-profit corporation, (and its related entities, successors, assigns and appointed representatives hereinafter, “Fotolanthropy”) is excited that You want to use Your camera for good as a Fotocrew member. By applying to become a Fotocrew member and/or clicking “yes,” You understand, acknowledge and agree as follows: <.p> ARTICLE ONE. PURPOSE AND DEFINITIONS 1. Fotolanthropy. The purpose of Fotolanthropy is for Fotocrew members to capture inspiring true stories of individuals and families facing trials and hardship. Recipients are selected through a nomination and application process and matched with a Fotocrew member(s). A Fotolanthropy Recipient(s) receives (at a minimum) a free portrait session with digital images. In some instances depending on many factors including Fotocrew member availability/willingness/expertise, funding, etc., Recipients may receive a short or full film as may be determined by Fotolanthropy, in its sole and absolute discretion, from time-to-time. 2. Fotocrew Members. Fotocrew members are individuals, companies or organizations that (i) have completed the Fotocrew application process, (ii) have been approved and selected by the Control Team, and (iii) volunteer to support Fotolanthropy’s mission while adhering to all Fotolanthropy terms, conditions, policies and rules. Usually, Fotocrew members are composed of highly talented professional photographers, videographers, graphic designers, filmmakers, etc (“Fotocrew members”). 3. Recipients. Fotolanthropy recipients are those people that (i) have faced adversity, (ii) have been nominated and selected by Fotolanthropy to receive Fotolanthropy services, and (iii) agree to and remain in compliance with all applicable terms, conditions, policies and rules (hereinafter, “Recipients”). Fotolanthropy services generally include a portrait session with digital images. Recipients must comply with all Fotolanthropy terms, conditions, policies and rules. 4. Fotocrew Requirements. Fotocrew members must at least earn a portion of their income through their respective listed profession. Fotocrew members must have a dedicated website or online portfolio that highlights at least some professional experience in family and portrait photography, videography, or graphic design. Fotocrew members must be morally upstanding individuals, companies or organizations as determined by Fotolanthropy, in its sole and absolute discretion, and cannot be convicted felons. ARTICLE TWO. APPLICATION PROCESS 1. Application. Prospective Fotocrew members must apply to Fotolanthropy by completing the online application located on Fotolanthropy’s website. ARTICLE THREE. ASSUMPTION OF RISK AND WAIVER OF LIABILITY You (Fotocrew member) understand, acknowledge and agree as follows: 1. Terms. To comply with and observe the policies, procedures, terms, conditions, and standards of conduct set forth (i) herein and (ii) in any and all policies, procedures, terms, conditions and standards of conduct published on the Fotolanthropy website (www.fotolanthropy.com) which may be revised, updated or modified from time-to-time. 2. Agency. That You will not act as an agent or representative of Fotolanthropy and, accordingly, shall not have or hold Yourself out as having the power or authority to bind or create liability for Fotolanthropy by virtue of Your negligent or intentional acts or omissions. 3. Insurance. To obtain and maintain such health, accident, disability, hospitalization, travel and other insurance as You may deem necessary during Your tenure as a Fotocrew member, and to be responsible for the costs of such insurance and for any expenses not covered by such insurance. 4. Status. To immediately disclose to Fotolanthropy any physical, mental or emotional conditions or problems that might impair Your ability to continue as a Fotocrew member. 5. Waiver and Release of Liability. You, your heirs, devisees, legatees, children, descendants, spouse, executors, administrators, trustees, representatives, successors, assigns, and agents (collectively as applicable, for the purposes of this Agreement, “You”) release, remise, and forever discharge Fotolanthropy, its trustees, officers, employees, agents and representatives from any and all claims, demands, injuries, damages, losses, actions, causes of action, or expenses whatsoever arising out of or connected in any way to Your involvement and participation as a Fotocrew member. 6. Assumption of Risk. That participation as a Fotocrew member is entirely voluntary, and that You are fully aware, having sought and obtained such information and advice as You feel necessary and appropriate, that such participation involves risk of injury and property/equipment damage, including possibly short-term and long-term disability and even death. These risks can come from causes which are many and varied, may not be foreseeable, and may include negligent or intentional acts or omissions of others. You assume responsibility for any injury, loss, or damage resulting directly or indirectly from participation as a Fotocrew member and release Fotolanthropy and its trustees, officers, employees, agents and representatives from any and all claims You may have in the future, waive all such claims, and agree not to sue these parties for any such claims arising out of Your participation in or with Fotolanthropy or as a Fotocrew member, including but not limited to claims arising out of the negligent or intentional acts or omissions of others. ARTICLE FOUR. CONSENT TO AND OWNERSHIP OF FOTOLANTHROPY MATERIAL (“MODEL RELEASE”) 1. Video and Photography; Consent and Ownership. You (as defined above) grant to Fotolanthropy, Fotolanthropy contractors and/or Fotolanthropy employees the right to photograph and video You. Such photography and video of You may used for any lawful purpose including promoting and advertising Fotolanthropy. Whether You are a photographer, videographer, designer, or other entity or person working on a Fotolanthropy project, You understand that Fotolanthropy will own all rights in perpetuity, regardless of possession, to any such photographs, videos, or intellectual property (“Foto Material”) taken, created, edited or produced by You or Your organization relating in any manner to a Fotolanthropy project. As the owner, Fotolanthropy may copyright, publish and use such Foto Material in print and/or electronically. You agree that Fotolanthropy may use such Foto Material with or without first and last name and for any lawful purpose. You acknowledge and agree that You will not, at any time, be compensated, in any way, and agree to waive any right to any compensation for agreeing to be photographed or videoed or agreeing to create, take, edit, or produce Foto Material. You waive any rights You may have to Foto Material taken of You by Fotolanthropy or taken, created, produced or edited by You for Fotolanthropy. 2. Recipient Release. You will not (i) take or create photography or video of any Recipient or (ii) work on a Fotolanthropy project with any Recipient unless and until such Recipient has signed a Video and Photography Consent (aka “Model Release”). You will confirm, help coordinate, request and ensure that all Recipients related to Your Fotolanthropy project sign a Video and Photography Consent. ARTICLE FIVE. PHOTOGRAPHY AND VIDEOGRAPHY 1. Digital Images. Photographer Fotocrew members are responsible for sending or uploading images to Fotolanthropy (or directly to the Recipient when Fotolanthropy approves) where directed. Each photographer must upload fully processed images, free of watermarks within 4 weeks from the date of the portrait session. In any event, photographers will remain in contact with Fotolanthropy until digital images are successfully transmitted to the Recipient. 2. Video Files. Videographers are responsible for producing a short or full film, as the case may be, in 8-12 weeks from the date of the video session. In any event, videographers will remain in contact with Fotolanthropy until the film is produced and successfully launched and/or transmitted to the Recipient. 3. Time for Delivery in Emergency Situations. Due to the fact that some Recipients are in poor health condition, emergency situations may exist that make time of the essence for delivery of images and films. In emergency situations, photographers and videographers should make every reasonable attempt to deliver images or films as they become available after editing, even if doing so will require partial delivery. 4. Image Amount. The Recipient should receive approximately twenty five (25) to forty (40) images to allow for as many combinations and expressions as necessary to capture the applicant and their loved ones. There is no maximum image amount per session to which the photographer is limited. 5. Video Length. Except for full length films which will be handled on a case-by-case basis, Videographers should expect a film to be between four (4) and seven (7) minutes. Examples of films may be found on Fotolanthropy’s YouTube or Vimeo Channel. ARTICLE THIRTEEN. MISCELLANEOUS PROVISIONS. 1. Complete Agreement. This Agreement is the entire agreement of the parties regarding the subject matter hereof, superseding all other agreements between them, whether oral or written, regarding the subject matter hereof. 2. Governing Law. This Agreement will be governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without resort to its conflict of law provisions. 3. Transferability. You may not transfer Your rights under this Agreement to any third party. 4. Time is of the Essence. Time is of the essence with respect to the Recipient’s obligations hereunder. 5. Jurisdiction and Venue. If any dispute arises in connection with or relating to the Agreement or relating to a claim which arises hereunder, then the parties agree that such claim shall be heard in the courts of Dallas County, Texas, and the parties waive any defense of personal jurisdiction or lack of venue and consent to the personal jurisdiction of the Dallas County, Texas courts. 6. Validity. If any provision of this Agreement is invalid, illegal, or incapable of being enforced by any rule of law or public policy, all other provisions of this Agreement will nonetheless remain in full force and effect.
